PurpletGo Terms of Service

1. Acceptance of terms

By creating an account or using the PurpletGo platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

PurpletGo provides a cloud-based employee offboarding management platform, including task automation, document collection, exit interviews, analytics, and related features as described on our website. We reserve the right to modify or discontinue features with reasonable notice.

3. Accounts and access

You are responsible for maintaining the confidentiality of your credentials. You must promptly notify us of any suspected unauthorised access. You may not share account access with unauthorised third parties or use the Service to store or process illegal content.

4. Free trial

Every new organisation starts with a 30-day free trial of Team plan features. No payment card is needed to start the trial. Enterprise trials are arranged through our sales team. If you subscribe to a paid plan during the trial, billing starts when the trial ends, so you keep the remaining trial days. If the trial ends without a paid plan, your account becomes read-only as described in section 7.

5. Subscriptions and billing

Paid plans are billed on the cycle selected at the time of subscription (monthly or annual). Prices are listed in USD and exclusive of applicable taxes. Payments are processed by Stripe. Subscriptions renew automatically unless cancelled before the renewal date.

You can upgrade or downgrade between Starter and Team at any time from the billing settings in the app. Plan changes take effect immediately and are prorated: unused time on the previous plan is credited and the new plan is charged for the rest of the current billing period, as calculated by Stripe. Enterprise plans are priced and changed by agreement with our sales team.

Cancelling a subscription from the billing settings in the app ends it immediately. If a payment fails, paid features continue while Stripe retries the payment; if it cannot be collected, paid features stop. In either case, once any remaining trial has ended, the account becomes read-only as described in section 7. Refunds are not provided for partial periods except where required by applicable law.

6. Employee limits and overage

Each plan includes a number of employees, meaning every active person in your PurpletGo employee directory, whether added by hand, by CSV import, or by HR system sync, including contractors and vendors. A person stops counting once their offboarding is complete or their data is erased. Seats, meaning members of any role who sign in, are counted separately. Starter includes 50 employees and Team includes 250. You may grow past the included number up to 100 employees on Starter and 500 on Team; each employee above the included number is billed at $2.00 per month on Starter and $1.50 per month on Team, as a separate item on your subscription that is adjusted as your employee count changes. Going beyond those ceilings requires a plan upgrade. Enterprise plans have no employee limit.

7. Read-only mode and data deletion

If the free trial ends without a paid plan, or a paid subscription ends, your organisation's account becomes read-only. You can still sign in, view your offboardings and audit log, export your data, and choose a plan, but you cannot make changes or run new offboardings. Data in a read-only account is deleted 12 months after the account became read-only, and we send warning emails before that happens. Choosing a paid plan before then restores full access.

8. Data and privacy

You retain ownership of all data you upload to the Service ("Customer Data"). By using the Service, you grant us a limited licence to process Customer Data solely to provide and improve the Service. We act as a data processor with respect to employee personal data you upload; our Privacy Policy and Data Processing Agreement (available on request) govern this relationship.

9. Acceptable use

You agree not to:

• Attempt to reverse-engineer, decompile, or scrape the Service;
• Use the Service to process unlawful content or data you are not authorised to process;
• Probe, scan, or test the vulnerability of the Service without prior written consent, except as our vulnerability disclosure policy allows;
• Resell or sublicense access to the Service without our written agreement.

10. Intellectual property

All intellectual property rights in the Service, including software, designs, trademarks, and documentation, are owned by or licensed to PurpletGo. These Terms do not grant you any ownership rights in the Service.

11. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, our aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you in the 12 months prior to the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

12. Termination

Either party may terminate these Terms on 30 days' notice, and you may cancel your subscription at any time as described in section 5. We may suspend or terminate accounts immediately for material breach, illegal activity, or non-payment. When a subscription ends or these Terms are terminated, your organization's account becomes read-only as described in section 7: you can still sign in and export your Customer Data, and it is deleted 12 months later. You can ask us to delete it sooner, or a Super Admin can schedule deletion of the organization from the account settings, which takes effect after a 30-day grace period during which it can be cancelled. Deleted data can remain in database backups for about 7 days until they roll off, and archived copies of the audit log are retained as part of the audit trail. We keep Customer Data for longer only where your organization has placed records under legal hold or applicable law requires it.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, except where applicable consumer protection law in your country of residence provides for a different venue.

14. Changes to these Terms

We may revise these Terms from time to time. Material changes will be communicated by email at least 14 days in advance. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
