PurpletGo Terms of Service

1. Acceptance of terms

By creating an account or using the PurpletGo platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

PurpletGo provides a cloud-based employee offboarding management platform, including task automation, document collection, exit interviews, analytics, and related features as described on our website. We reserve the right to modify or discontinue features with reasonable notice.

3. Accounts and access

You are responsible for maintaining the confidentiality of your credentials. You must promptly notify us of any suspected unauthorised access. You may not share account access with unauthorised third parties or use the Service to store or process illegal content.

4. Subscriptions and billing

Paid plans are billed on the cycle selected at the time of subscription (monthly or annual). Prices are listed in USD and exclusive of applicable taxes. Subscriptions renew automatically unless cancelled before the renewal date. Downgrades take effect at the end of the current billing period. Refunds are not provided for partial periods except where required by applicable law.

5. Data and privacy

You retain ownership of all data you upload to the Service ("Customer Data"). By using the Service, you grant us a limited licence to process Customer Data solely to provide and improve the Service. We act as a data processor with respect to employee personal data you upload; our Privacy Policy and Data Processing Agreement (available on request) govern this relationship.

6. Acceptable use

You agree not to:

• Attempt to reverse-engineer, decompile, or scrape the Service;
• Use the Service to process unlawful content or data you are not authorised to process;
• Probe, scan, or test the vulnerability of the Service without prior written consent;
• Resell or sublicense access to the Service without our written agreement.

7. Intellectual property

All intellectual property rights in the Service, including software, designs, trademarks, and documentation, are owned by or licensed to PurpletGo. These Terms do not grant you any ownership rights in the Service.

8. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, our aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you in the 12 months prior to the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate these Terms on 30 days' notice. We may suspend or terminate accounts immediately for material breach, illegal activity, or non-payment. Upon termination, your right to access the Service ceases and we will delete your Customer Data within 30 days unless you request an earlier deletion or a longer retention is required by law.

10. Governing law

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the English courts, except where applicable consumer protection law in your country of residence provides for a different venue.

11. Changes to these Terms

We may revise these Terms from time to time. Material changes will be communicated by email at least 14 days in advance. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
